This summary is a convenience. It is not a substitute for the full terms below, and the full terms control.
1.1 Binding contract. These Tools & API Interface Terms (the "Tool Terms") are a binding agreement between you and Veal.Trade. They apply to every Tool, whether pre-release or released, paid or free, and to every API Interface you connect to a Tool.
1.2 How you accept. You accept the Tool Terms when you tick a box or click a button that says you agree to them. You also accept them when, after being shown a notice that links to them, you download, clone, install or run a Tool or connect an API Interface. If you do not agree, do none of those things.
1.3 Other terms. The Tool Terms add to the Veal.Trade Terms & Conditions and Privacy Policy, which also apply. Where the Tool Terms and those documents conflict on anything concerning a Tool, an API Interface or Output, the Tool Terms control.
1.4 Who may use the Tools. You must be at least 18 years old, of legal age and capacity to enter a contract where you live, and legally permitted to use the Tools and to trade the instruments they concern in your jurisdiction. The Tools are offered for your personal, non-professional use only. If you use a Tool on behalf of a company or other person, you represent that you have authority to bind them, and "you" includes them.
1.5 Notice to everyone. Sections 3 through 9 also stand as notices. They state what the Tools and the Output are, and the risks of using them, to every person who sees a Tool or any Output, whether or not that person has accepted the Tool Terms.
"Veal.Trade", "we" and "us" mean the owners and operators of the Veal.Trade website and community.
"Veal Parties" means Veal.Trade and its owners, operators, developers, contributors, moderators, affiliates, licensors, successors and assigns, and the officers, members, employees, contractors and agents of each of them.
"Tool" means Zero Day Intel (including the Watch board, the Zero Day SITREP and every related board, report and archive), Flow Watch, and any other software, source code, script, board, page, report, indicator, data file, model, documentation or interface that Veal.Trade makes available in any form, hosted or self-hosted, together with every update and every copy.
"Third-Party Service" means any product or service not operated by Veal.Trade, including any broker, exchange, clearing house, index provider, market-data vendor, charting platform, code host, cloud provider or messaging platform.
"API Interface" means any connection between a Tool and a Third-Party Service, made by any programmatic or automated means, including API keys, tokens, OAuth grants, sessions, streams, sockets, webhooks, exports and file transfers.
"Credentials" means any username, password, key, secret, token, grant, certificate, account number or other means of access to a Third-Party Service.
"Output" means anything a Tool computes, estimates, displays, stores, writes, posts or sends, including prices, levels, exposures, probabilities, odds, grades, gates, conditions, leans, scenarios, candidate contracts, sizes, alerts, briefs and reports.
3.1 Any Tool described on the website as "coming soon", "in development", "beta", "preview" or similar is unfinished work. The description is a statement of present intention only. It is not an offer, a promise, a warranty or a commitment to deliver any Tool, feature or result, on any date or at all.
3.2 Features may be changed, delayed or withdrawn without notice. Pre-release access, where given, is given at our sole discretion, may be ended at any time for any reason, and is subject to the Tool Terms in full. You agree that you have not relied on any statement about a future Tool or feature in deciding to do anything.
4.1 The Tools are informational and educational software. A Tool performs arithmetic on market data that you supply through your own API Interface, and displays the result.
4.2 Every Tool and all Output are general and impersonal. They are produced by the same rules for every user. They are not prepared for you, and they take no account of your finances, objectives, experience, tax position, risk tolerance, existing positions or needs.
5.1 Not advice. No Tool and no Output is investment, financial, trading, legal, accounting or tax advice. No Output is a recommendation, solicitation or offer to buy, sell, hold or exercise any security, option, future, commodity interest or other instrument, or to adopt any strategy.
5.2 Not registered. Veal.Trade is not registered or licensed in any jurisdiction as an investment adviser, broker-dealer, futures commission merchant, introducing broker, commodity trading advisor, commodity pool operator, municipal advisor or financial planner. No Veal Party acts in any of those roles in connection with a Tool or Output. No Veal Party determines whether any transaction or strategy is suitable for you or in your best interest.
5.3 No relationship. Your use of a Tool creates no fiduciary, advisory, agency, brokerage, custodial, partnership or trust relationship between you and any Veal Party. No Veal Party has, accepts or will accept discretionary authority over, or access to, any account of yours.
5.4 Labels are arithmetic. Words that appear in a Tool or in Output, such as "grade", "gate", "lean", "target", "ticket", "setup", "candidate", "size", "wait" and "stand aside", are labels for conditions computed by fixed rules. They are not instructions, and they are not addressed to you or to your situation.
5.5 Your decisions. You alone decide whether, when and what to trade. You are solely responsible for every decision and for its result. Before you trade, consider your own circumstances and consult licensed professionals of your own choosing.
5.6 Community content. Posts in the Veal.Trade community, including Output that is shared there, go to all members in the same form, are not addressed to any one member and take no account of any member's circumstances. A reply to your question is general discussion, not advice about your account. All of it is subject to this Section 5.
6.1 Trading securities, options, futures and other derivatives involves a substantial risk of loss and is not suitable for everyone. You may lose all of the money you commit to a trade. In some strategies, including selling options and trading on margin, you may lose more than you deposited.
6.2 Options that expire on the day they are traded (0DTE) are among the riskiest listed instruments. They can lose all of their value within minutes, they can become impossible to exit at a reasonable price, and they carry exercise, assignment, pin and settlement risk into and after the close.
6.3 Before you trade options, read Characteristics and Risks of Standardized Options, published by The Options Clearing Corporation and available from your broker. Trade only with money you can afford to lose.
7.1 Output is modeled. Output is produced by models that rest on assumptions, simplifications and conventions that may be wrong or may stop holding without warning. Estimates of dealer positioning and exposure are inferred, not observed. Open interest, on which many of them depend, is reported once a day and does not reflect trading during the session.
7.2 Probabilities are not promises. Any probability, odds, expected move, win rate, grade or similar figure is the output of a model at a moment in time. It is not a prediction, a forecast of your result, or a statement about what will happen.
7.3 Studies and track records. Any back-test, forward test, study, statistic, example or record of past Output is historical or hypothetical. Past performance does not guarantee and does not indicate future results. No representation is made that any person has achieved, will achieve or is likely to achieve any profit or avoid any loss.
7.4 HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER-OR-OVER COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFIT OR LOSSES SIMILAR TO THOSE SHOWN.
8.1 We are not a data vendor. Veal.Trade is not a market-data vendor and does not sell or license market data. A Tool that you run reads market data only from the Third-Party Services that you connect. Output that we post in the community is computed on our own copy of a Tool and may contain figures derived from market data. It is not a data feed and may not be used as one.
8.2 Data can be wrong. Market data and Output may be delayed, stale, inaccurate, incomplete, out of order, mislabeled or missing. Index values may lag the instruments that trade. Clocks may differ. A Tool may stop updating without telling you, and a screen that looks live may not be.
8.3 Your broker is the record. The records of your broker and of the relevant exchange and clearing house are the only authoritative record of your orders, fills, positions, balances, margin and risk. Never rely on a Tool or on Output for any of them. Confirm every price and every position at your broker before you act.
9.1 Your accounts and your Credentials. Every API Interface is a connection between your copy of a Tool and your own account at a Third-Party Service, made with Credentials that you obtain from that service yourself. You may connect only accounts that you own or are authorized in writing to use.
9.2 We do not ask for your Credentials. The Tools are designed to run on your own device, and are designed so that your Credentials stay on that device and are not sent to any Veal Party. We do not promise that the software has no defect that could expose them. Review the source before you run it. No Veal Party asks for, or accepts, access to any account of yours. Never give your Credentials to any person, including anyone who says they act for Veal.Trade. If a hosted feature is ever offered that needs your Credentials, it will be offered under separate terms shown to you at that time.
9.3 Keeping Credentials safe. You are solely responsible for the security of your Credentials, your device and your network. You agree to keep Credentials in a secure operating-system keystore and never in a source file, a repository, a chat message or a screenshot; to request the narrowest permissions that the Third-Party Service offers, and read-only access wherever it is offered; and to revoke and replace any Credential you believe may have been exposed. Everything done through your Credentials is your act.
9.4 Third-party terms govern. Your use of each Third-Party Service is governed by your own agreements with it, which may include customer, API, developer, market-data subscriber and exchange agreements. You represent that you have read those agreements, that your use of each API Interface complies with them, and that every statement you made to obtain access, including any statement about professional or non-professional subscriber status, is true. Where a Third-Party Service does not permit a use, do not make it. No Veal Party is a party to those agreements or responsible for your compliance with them.
9.5 No sharing of market data. Each person who uses a Tool must hold their own entitlement to the data it reads. You may not use a Tool to share, publish, retransmit, resell or display to any other person any data obtained from a Third-Party Service, in any form, including screenshots, recordings and posts, except as your agreement with that Third-Party Service expressly allows.
9.6 No affiliation. Veal.Trade is independent. No Tool is affiliated with, sponsored by, endorsed by, certified by or approved by any broker, exchange, clearing house, index provider, data vendor, charting platform or other Third-Party Service. Their names, products and marks belong to their owners and are referred to only to identify them.
9.7 Change and failure. A Third-Party Service may change, limit, slow, suspend, misreport or withdraw its interface, its data or your account at any time, and may charge you for access. No Veal Party controls any Third-Party Service or is responsible for its acts, omissions, errors, outages, fees or decisions. We have no obligation to maintain, update or repair any Tool or to keep it compatible with any Third-Party Service.
9.8 Orders. Zero Day Intel and Flow Watch are display tools. They are not designed to send, change or cancel orders. No Veal Party accepts, routes, executes, clears or settles orders, holds customer funds or securities, or has trading authority over any account. If you use, modify or combine any Tool or any other software so that an order can be transmitted through an API Interface, every such order is your own self-directed order, sent by you, under your Credentials, to your broker, on your instruction alone and at your sole risk.
9.9 Safeguards can fail. Any stop, limit, breaker, alert, flatten or kill switch, or other protective feature in any software, is a convenience that may fail, act late or not act at all. It is not a guarantee and is no substitute for watching your account at your broker.
9.10 Automation risk. Software that reads or acts on live market data can fail in ways that cost money, including defects, latency, lost or duplicated messages, clock errors, runaway loops, stale state, and loss of power or network. You accept every such risk.
9.11 Costs. You are responsible for every fee, commission, data charge, interest charge, tax and penalty that arises from your accounts and your API Interfaces.
10.1 License. Subject to the Tool Terms, Veal.Trade grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to run each Tool you are given access to, for your own personal and non-commercial use. Every right not expressly granted is reserved. Access to source code does not transfer ownership of it.
10.2 Restrictions. You agree not to: (a) sell, rent, lease, sublicense, publish or distribute a Tool or Output, or operate a Tool for the benefit of anyone else; (b) offer Output as a signal, alert, advisory or copy-trading service; (c) use a Tool to manage, or to advise on, money or accounts that belong to anyone else; (d) use a Tool in breach of any law, regulation, exchange rule or Third-Party Service agreement; (e) use a Tool for spoofing, layering, wash trading or any other manipulative or deceptive practice; (f) use a Tool to collect data from a Third-Party Service by means that the service prohibits, or to evade any access control, rate limit or technical limit; (g) remove or alter any notice, disclaimer or attribution; or (h) use a Tool anywhere its use is unlawful.
10.3 Modifications. If you are permitted to modify a Tool and you do, you do so at your own risk. No Veal Party is responsible for a modified copy or for anything it does. If you send us feedback or a change, you grant Veal.Trade a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose, and you represent that you have the right to grant that license.
10.4 Open-source components. Components supplied by others are licensed to you by their owners under their own licenses, and are provided by Veal.Trade without any warranty.
10.5 Export and sanctions. You represent that you are not located in, and are not a resident or national of, any country subject to a United States embargo, and are not on any United States list of prohibited or restricted parties.
A Tool that runs on your device runs with your permissions and can reach whatever your device can reach. You are responsible for reviewing what you run, for obtaining Tools only from a source that Veal.Trade identifies, for your own backups, and for the configuration and security of your own systems. No Veal Party warrants that any Tool is free of defects, vulnerabilities or harmful code.
We may suspend or end your access to any Tool at any time, for any reason, without notice and without liability. Your license ends automatically if you breach the Tool Terms. When your license ends you must stop using the Tool and delete every copy. Sections 2, 4 through 11 and 13 through 20 survive the end of the Tool Terms and of your access.
13.1 EVERY TOOL, EVERY API INTERFACE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE VEAL PARTIES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, SECURITY OR UNINTERRUPTED OR ERROR-FREE OPERATION.
13.2 NO VEAL PARTY WARRANTS THAT ANY TOOL OR OUTPUT WILL BE CORRECT, CURRENT OR AVAILABLE, THAT ANY DEFECT WILL BE CORRECTED, OR THAT THE USE OF ANY TOOL OR OUTPUT WILL PRODUCE ANY PROFIT OR AVOID ANY LOSS. NO STATEMENT BY ANY PERSON, IN ANY PLACE, CREATES A WARRANTY THAT IS NOT WRITTEN IN THE TOOL TERMS.
14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NO VEAL PARTY WILL BE LIABLE TO YOU, UNDER ANY THEORY OF LIABILITY, FOR ANY: (A) TRADING OR INVESTMENT LOSS, LOST PROFIT, LOST OPPORTUNITY OR LOSS IN THE VALUE OF ANY POSITION OR ACCOUNT; (B) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; (C) LOSS, CORRUPTION OR EXPOSURE OF DATA OR CREDENTIALS; (D) ACT, OMISSION, ERROR, OUTAGE, FEE OR DECISION OF ANY THIRD-PARTY SERVICE; OR (E) COST OF SUBSTITUTE GOODS OR SERVICES. THIS APPLIES WHETHER THE CLAIM IS IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR ANY OTHER THEORY, AND EVEN IF A VEAL PARTY HAS BEEN TOLD THAT THE DAMAGE WAS POSSIBLE.
14.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ALL VEAL PARTIES TOGETHER, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE TOOLS, THE API INTERFACES, THE OUTPUT OR THE TOOL TERMS, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VEAL.TRADE FOR THE TOOL THAT GAVE RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND (B) ONE HUNDRED UNITED STATES DOLLARS (US $100).
14.3 The limits in this Section 14 apply even if a limited remedy fails of its essential purpose. They are a fundamental part of the bargain between you and Veal.Trade, and the Tools would not be made available without them. Some jurisdictions do not allow certain warranties to be excluded or certain damages to be limited. In those jurisdictions, Sections 13 and 14 apply to the fullest extent the law allows and no further, and nothing in the Tool Terms excludes or limits any liability that cannot lawfully be excluded or limited.
14.4 Nothing in Sections 13 through 16 limits or releases liability for a Veal Party's own fraud or intentional misconduct, or for its gross negligence where the law does not allow that liability to be limited or released.
15.1 You use the Tools, the API Interfaces and the Output entirely at your own risk. You assume every risk described in the Tool Terms, and every other risk of using software, market data and Third-Party Services in connection with trading.
15.2 To the fullest extent permitted by law, you release each Veal Party from every claim, demand, loss and liability, known or unknown, that arises out of or relates to: (a) any trading or investment decision or result; (b) your reliance on any Tool or Output; (c) any Third-Party Service or API Interface; or (d) any loss or exposure of your Credentials. You waive any law that would limit this release to claims you know of or suspect at the time you give it, including California Civil Code Section 1542 and any similar law, where it applies.
You agree to defend, indemnify and hold harmless each Veal Party from any claim, demand or proceeding brought by someone else, and from the losses and reasonable costs of answering it, including reasonable legal fees, to the extent it is caused by: (a) your breach of the Tool Terms; (b) your breach of any law or of any agreement with a Third-Party Service; (c) your modification of a Tool; (d) your trading; or (e) anything done through your Credentials or your accounts. This does not cover a claim to the extent that a Veal Party's own fault caused it, and it does not cover a claim between you and us. We may take over the defense of an indemnified claim, and you agree to cooperate.
Please read this Section carefully. It affects your legal rights.
17.1 Talk first. Before starting any proceeding, the party with a claim must send the other a written notice that describes the claim and the relief sought, and must then try in good faith for 60 days to resolve it. Any limitation period is paused for those 60 days.
17.2 Agreement to arbitrate. You and Veal.Trade agree that every dispute, claim or controversy arising out of or relating to the Tools, the API Interfaces, the Output or the Tool Terms, including any question about whether this Section is enforceable or applies, will be resolved only by final and binding arbitration before a single arbitrator, and not in court. The Federal Arbitration Act governs this Section.
17.3 Rules and forum. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. If the AAA cannot or will not administer it, it will be administered by another established arbitration provider that the parties agree on or, failing agreement, by an arbitrator appointed under the Federal Arbitration Act. Hearings may be held by video or telephone, or decided on written submissions, unless the arbitrator requires otherwise. Fees are allocated as the administrator's rules provide. Judgment on the award may be entered in any court with jurisdiction.
17.4 CLASS ACTION AND JURY WAIVER. YOU AND VEAL.TRADE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT COMBINE THE CLAIMS OF MORE THAN ONE PERSON AND MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING IT AND ONLY TO THE EXTENT NEEDED TO RESOLVE THAT PARTY'S OWN CLAIM.
17.5 Exceptions. Either party may bring an individual claim in small claims court if it qualifies and stays there. Either party may ask a court for an injunction to protect intellectual property or Credentials, or to stop unauthorized use of a Tool.
17.6 Your right to opt out. You may opt out of this Section 17 within 30 days after you first accept the Tool Terms, by sending a written notice through the contact method in Section 20 that gives your name, your Discord username and a clear statement that you opt out of arbitration. Your opt-out takes effect when you send it. We will not end or limit your access because you opt out. Opting out does not affect any other part of the Tool Terms.
17.7 If part of this Section fails. If the waiver in Section 17.4 is found unenforceable for a particular claim or remedy, that claim or remedy, and only that one, will be decided in court after every arbitrable claim has been arbitrated. Every other part of this Section remains in force.
18.1 The Tool Terms, and every dispute arising out of or relating to them, are governed by the laws of the United States and of the Commonwealth of Massachusetts, without regard to any rule that would apply the law of another place. This choice does not remove any consumer protection that the law of the place where you live gives you and that cannot be waived by contract.
18.2 For any matter that is not subject to arbitration, you and Veal.Trade submit to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Massachusetts, and waive any objection to that venue.
18.3 Time limit. Unless the law requires a longer period, you and Veal.Trade must each start any claim arising out of or relating to the Tools, the API Interfaces, the Output or the Tool Terms within one year after the party bringing it knew or reasonably should have known the facts behind it.
We may change the Tool Terms by posting the revised version on this page with a new effective date and announcing it in the Veal.Trade Discord at least 30 days before it takes effect. A change applies only to use after that date, and not to a claim that arose, or a dispute that either party gave notice of, before it. If a change alters Section 17, you may reject that change by sending an opt-out notice under Section 17.6 within 30 days after it takes effect, and the earlier Section 17 continues to apply to you. If you do not accept any other change, stop using the Tools before it takes effect.
20.1 Whole agreement. The Tool Terms, the Terms & Conditions and the Privacy Policy are the entire agreement between you and Veal.Trade about the Tools, and replace every earlier statement about them. You have not relied on anything that is not written in those documents.
20.2 Severability. If any part of the Tool Terms is found unenforceable, it will be enforced to the greatest extent the law allows, and the rest remains in full force.
20.3 No waiver. A failure or delay in enforcing any right is not a waiver of it. A waiver is effective only if it is in writing.
20.4 Assignment. You may not assign or transfer the Tool Terms or any right under them. Veal.Trade may assign them freely, including to any entity that takes over the operation of Veal.Trade or of a Tool.
20.5 Protected persons. Each Veal Party is an intended beneficiary of Sections 5 through 9 and 11 through 18 and may enforce them. No one else has any right under the Tool Terms.
20.6 Events beyond control. No Veal Party is responsible for any failure or delay caused by anything beyond its reasonable control.
20.7 Reading the Tool Terms. Headings are for convenience only. "Including" means "including without limitation". The Tool Terms are written in English, and the English version controls.
20.8 Electronic dealings. You agree that the Tool Terms and any notice may be given electronically, and that your electronic acceptance has the same effect as a signature.
20.9 Contact. Send questions and any notice under the Tool Terms to a Veal.Trade administrator by direct message on the Veal.Trade Discord. A notice to us is given when you send it. Keep a copy of what you send. If you cannot send a direct message, send the notice by any other means reasonably likely to reach the operator.
